These Terms of Service ("Terms") govern your use of our culinary services, website, and any related services provided by Smartfluxorium SARL ("Company," "we," "us," or "our"). By accessing our website, engaging our services, or entering into any agreement with Smartfluxorium, you ("Client," "you," or "your") agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services or website. These Terms constitute a legally binding agreement between you and Smartfluxorium SARL, a company registered in Luxembourg with registration number RCSB123456.

Smartfluxorium provides professional culinary services including but not limited to:

• Recipe development and testing
• Catering services for events and functions

• Private chef services

All services are subject to availability and may be customized based on client requirements and our capabilities.

Service Agreements and Bookings

Service engagements require a written agreement specifying the scope, timeline, and terms. By booking our services, you agree to:

• Provide accurate information about your requirements and any dietary restrictions or allergies
• Make payment according to the agreed schedule
• Provide reasonable access to venues and facilities as needed
• Comply with health and safety requirements
• Give reasonable notice for any changes or cancellations

User Obligations

When using our services or website, you agree to:

• Provide truthful and accurate information in all communications
• Respect our intellectual property rights and proprietary information
• Not use our services for any unlawful or prohibited purposes

Payment Terms

Payment terms are specified in individual service agreements. General payment conditions include:

• Deposits may be required to secure bookings
• Final payment is typically due upon completion of services
• Late payment fees may apply to overdue accounts
• All prices are quoted in Euros (EUR) unless otherwise specified
• Additional costs for changes or extras will be communicated in advance

Cancellation and Refund Policy

Cancellation terms vary by service type:

• Catering Services: 72 hours notice required for full refund; 24-72 hours notice subject to 50% fee
• Consulting Services: 24 hours notice required for rescheduling without penalty
• Recipe Development: Cancellation after work has commenced may result in charges for work completed
• Force Majeure: No penalty for cancellations due to circumstances beyond reasonable control

Intellectual Property

All intellectual property rights in our services, including recipes, techniques, processes, and creative works, remain the property of Smartfluxorium unless explicitly transferred in writing. This includes:

• Proprietary recipes and formulations
• Culinary techniques and methods
• Menu designs and concepts
• Training materials and documentation
• Photography and creative content
• Brand names, trademarks, and logos

Clients receive usage rights as specified in individual service agreements. Unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited.

Confidentiality

We respect the confidentiality of our clients' information and expect the same in return. Both parties agree to maintain confidentiality regarding proprietary information, trade secrets, and sensitive business details shared during the course of our professional relationship.

Health and Safety

Food safety and health considerations are paramount in our services. We maintain high standards of hygiene and safety, and clients must:

• Disclose all known allergies and dietary restrictions
• Ensure suitable facilities and equipment when required
• Comply with local health department regulations
• Report any adverse reactions or incidents immediately

Limitation of Liability

To the maximum extent permitted by law, Smartfluxorium's liability is limited as follows:

• Our total liability shall not exceed the amount paid for the specific service in question
• We are not liable for indirect, consequential, or punitive damages
• We do not guarantee specific outcomes or results from our services
• Liability for food-related incidents is limited to cases of gross negligence
• Force majeure events excuse performance and liability

This limitation does not affect your statutory rights as a consumer under Luxembourg law. Nothing in these Terms excludes liability for death or personal injury caused by negligence or fraudulent misrepresentation.

Indemnification

You agree to indemnify and hold harmless Smartfluxorium, its employees, and representatives from any claims, damages, or expenses arising from your breach of these Terms, misuse of our services, or violation of any laws or third-party rights.

Force Majeure

Neither party shall be liable for any failure to perform due to events beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, strikes, or other unforeseeable circumstances that make performance impossible or impracticable.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms. Please review our Privacy Policy to understand our data practices.

Governing Law

These Terms are governed by and construed in accordance with the laws of Luxembourg. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Luxembourg courts.

For consumer contracts, nothing in this clause affects your rights under mandatory consumer protection laws of your country of residence.

Dispute Resolution

We encourage resolving disputes through direct communication. If a dispute cannot be resolved amicably, it may be submitted to mediation before pursuing legal action. For consumer disputes, you may also contact relevant consumer protection authorities or alternative dispute resolution platforms.

Termination

These Terms remain in effect until terminated. Termination may occur:

• By mutual agreement of both parties
• By either party with reasonable notice for ongoing relationships
• Immediately for material breach of Terms
• Immediately if continuation would violate applicable laws

Termination does not affect completed transactions, accrued obligations, or rights that by their nature should survive termination.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of the new Terms. For material changes, we will provide reasonable notice to existing clients.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and Smartfluxorium regarding the use of our services, superseding all prior agreements and understandings.
